1. Professional B2B Service Agreement
These terms govern the professional use of Medical365's cloud-based Hospital Information Management System (HIMS) and Electronic Health Record (EHR) platform. By accessing or using our services, you (the "Healthcare Provider" or our "Client") agree to be bound by these enterprise-grade terms.
2. SaaS Subscription & Service Level Agreement (SLA)
Medical365 provides high-availability cloud software with a guaranteed 99.9% uptime SLA. Our commitment includes:
- Continuous Backup: Daily automated backups with data redundancy across multiple Indian server clusters.
- Cloud Availability: 24/7 web-based and app-based access for authorized clinic and hospital personnel.
- Scheduled Maintenance: Conducted during off-peak hours (IST) with 48-hour advanced notice for major platform updates.
- Support Tiers: Gold and Platinum support tiers provide 24/7 technical assistance for critical infrastructure issues.
3. Data Ownership & Vendor Portability
The Healthcare Provider maintains full, absolute, and unencumbered ownership of all patient data and clinical records. Medical365 provides data export features adhering to FHIR (Fast Healthcare Interoperability Resources) and ABDM standards to ensure seamless vendor portability and compliance with Indian healthcare regulations.
4. User Responsibility & Compliance
Authorized users within the Healthcare Provider's organization are responsible for:
- Maintaining strong, multi-factor authentication (MFA) locally for all clinical and administrative dashboard access.
- Compliance with clinical workflow standards and medical ethics during digital reporting.
- Adherence to the ABDM Consent Framework for any external health record sharing.
5. Limitation of Liability
Medical365 is a technology platform provider. We are not a medical service provider and do not provide medical advice or treatment. Clinical decisions are the sole responsibility of the registered healthcare professionals using the system. Medical365 shall not be liable for any indirect, incidental, or consequential damages resulting from the use of the platform.
6. Governing Law
These terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts located in Jaipur, Rajasthan.
